BTLA BROKER / 04 / FOR BUSINESSES

Directors' and officers' insurance (D&O).
Decisions can have personal consequences.

We help analyse liability cover for people managing businesses. We establish who the proposal covers, which claims it addresses and where its limitations lie.

For companies and people making management decisions.

01 / YOUR SITUATION

For people who make decisions.

We analyse D&O cover with the organisation's structure, roles and planned changes in mind. The company's position matters, as does the definition of an insured person.

  • You want a structured protection programme for the management board.
  • Management personnel or group structure are changing.
  • You are reviewing terms at renewal or during a transaction.

BEAVER AND SUPERPARROT / BUSINESS IN PRACTICE

The company had liability insurance. The claim named the managing director personally.

Public liability and D&O cover different areas. In the video, Beaver discovers why they should be distinguished.

With D&O, we check the people insured, types of claims, defence costs, limits and exclusions. Let’s discuss roles in your company and the cover terms — a business liability policy alone does not replace this analysis.

02 / SCOPE OF OUR WORK

D&O requires consideration of more than one limit.

The scope and availability of cover depend on the company's situation and the terms of individual offers. We also discuss limitations together.

What do we check in these areas?

Eligible insured persons

We check the definitions of people and roles included in the proposal. We also discuss former and future office holders and affiliated entities, where relevant to the programme.

Claims and costs

We compare how liability is defined and the terms for covering defence costs. We explain which limits are shared and which events may erode them.

Timing and organisational changes

We analyse rules for notifying claims and circumstances, relevant cover dates and the impact of structural or board changes. We do not treat provisions in different offers as equivalent.

03 / THE OUTCOME OF WORKING TOGETHER

Terms management can understand.

Discuss D&O cover ↗
  • A review of the definitions of insured persons.
  • Comparison of cover, limits and defence costs.
  • A discussion of material exclusions and notification requirements.
  • Issues to address during organisational changes.

04 / HOW WE START

From a conversation to an informed decision.

What should you prepare first?

A brief description of the organisation, its structure and current cover is enough to start. We discuss financial information and the quote questionnaire at the next stage.

What do we check in these areas?

We get to know your organisation

We establish the structure, roles and reason for reviewing cover.

We analyse proposals

We compare definitions, the period covered and restrictions.

We discuss the decision

We turn policy terms into questions relevant to management.

05 / BEFORE WE TALK

Worth knowing.

Does D&O cover only management board members?

Who is covered follows the definitions in the specific contract. This may be a wider group, so establish the roles and people the organisation wants included in the review.

Can an already known claim be covered?

You should not assume that a new policy will cover a known matter. Existing claims and circumstances must be disclosed and assessed in accordance with the offer's terms.

Are defence costs outside the sum insured?

It depends on the contract. We check whether costs reduce a shared limit, have a separate sublimit and what conditions must be met to use the cover.

Does a change of management affect the policy?

It may. Review insured person definitions, the cover period and information duties, particularly during ownership changes or when ending a programme.

SPECIFICS / BEFORE A DECISION

Before you request a quote.

What affects the cost?

  • The entity's legal form, size and financial position
  • The group structure and area of operations
  • Limit, insured persons and claims covered

These are starting points for a conversation. A meaningful price comparison requires a defined scope and terms of cover.

What will help our first conversation?

  • Company and group structure
  • Basic financial information
  • Current policy and planned changes

Don't have everything? Start with a brief description. We will establish what can be added later.

Are D&O and public liability the same thing?

They concern different areas of liability. During our conversation, we will distinguish management-related claims from the risks of the business itself and check the wording of the specific offers.

What happens after you report a claim?

We will contact you about your needs, clarify the information and agree the scope of further analysis. An enquiry alone does not put cover in place.
