BTLA Broker / Finance and specialist risks
M&A transactions — W&I.
Include insurance in the transaction plan.
A company sale involves the parties’ warranties and the allocation of liability for their breach. We help structure an enquiry about using W&I in a specific transaction.
For parties buying or selling a business.
01 / Needs analysis
What will we establish before comparing quotes?
Availability, premium, limits, excesses and exclusions depend on risk assessment and the specific contract terms. Sending an enquiry does not activate cover.
What do we check in these areas?
Transaction structure
We ask whether you are the buyer or seller, the jurisdiction, the subject matter and the timetable. The availability of insurance depends on an individual assessment of the transaction.
Warranties and due diligence
The discussion covers the warranties given and the due diligence process. Insurance does not replace company due diligence or the work of legal and financial advisers.
Limits and exclusions
We check the required limit, excess and excluded areas. Known risks and disclosed issues need separate discussion, rather than an assumption of automatic cover.
02 / Preparing for the discussion
You do not need to have all the documents straight away.
Provide basic information in the questionnaire. If you are unsure about something, describe it briefly or choose a conversation. Once we understand your needs, we will establish what data is required for further analysis.
What should you prepare?
The general parameters of the transaction, the due diligence stage and the timetable. You can provide confidential documents and company details once a secure contact channel has been agreed.
We will agree documents and details individually. The form starts contact; do not use it to send sensitive data or third-party documents.
03 / An important distinction
Before you choose cover.
Does W&I guarantee an investment's success?+
No. It concerns specified liability relating to warranties on the contract terms. It does not protect against every fall in company value or unsuccessful business decision.
What determines the price?+
It depends on the subject matter and scale of the risk, the cover, limits, claims history and the terms offered by the insurer. First, we need information about your situation. We do not provide a misleading quote based on the product name alone.
SPECIFICS / BEFORE A DECISION
Before you request a quote.
What affects the cost?
- Nature and value of the transaction
- Scope of representations and due diligence
- Limit, structure and dates
These are starting points for a conversation. A meaningful price comparison requires a defined scope and terms of cover.
What will help our first conversation?
- Basic transaction information
- Planned schedule
- Scope of the assessment and draft contract
Don't have everything? Start with a brief description. We will establish what can be added later.
At what stage should we discuss W&I?
It is worth considering this early enough in the timetable. The assessment depends on transaction documentation and due diligence, so coordination with advisers is needed.
What happens after you report a claim?
We will contact you about your needs, clarify the information and agree the scope of further analysis. An enquiry alone does not put cover in place.
